Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and HeyZev (“HeyZev,” “Zev,” “we,” “us”), the company that provides the Zev platform at heyzev.ai (the “Service”). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you are accepting on behalf of a company, you represent that you are authorized to bind that company, and “you” refers to that company.

If you do not agree to these Terms, do not use the Service. Your use is also subject to our Privacy Policy, which is incorporated here by reference.

The HeyZev SMS program sends transactional texts about an inquiry you submitted or a demo you booked: a callback notice, a booking confirmation, and a meeting join link. Message frequency varies (usually a few texts per inquiry). Message and data rates may apply. Consent is not a condition of purchase.

Zev is a software service that operates AI voice and chat agents for your business. Depending on the features you enable, Zev can answer inbound phone calls, hold spoken and written conversations with your callers, screen and qualify them, book appointments, route or hand off to a live human, and record and transcribe those conversations so you can review them in your dashboard.

To deliver this, the Service may provision phone numbers, connect to third-party tools you authorize (such as your calendar or a Google Sheet), and process the audio, transcripts, and structured data that your conversations generate. The specific features available to you depend on your plan and configuration.

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide, for safeguarding your login credentials, and for all activity that occurs under your account. Authentication is handled through Firebase Authentication; you agree to keep your credentials confidential and to notify us promptly at stefan@heyzev.ai if you suspect unauthorized access.

Accounts may include multiple team members with different roles. The account owner is responsible for managing those members and for their actions on the Service.

You agree not to use the Service to:

• Place or receive calls or messages in violation of telemarketing, robocall, consumer-protection, or wiretapping laws, including the TCPA and state two-party consent laws. You are responsible for providing any consent or disclosure your jurisdiction requires before recording a conversation.
• Impersonate a person or organization in a way that is deceptive or unlawful, or misrepresent that a conversation is with a human when asked.
• Handle conversations or data that you are not legally permitted to handle, or that fall under regulatory regimes the Service is not designed for (for example, we do not support uses subject to HIPAA unless we have agreed to in writing).
• Send spam, harass, defraud, or harm others; transmit malware; or attempt to probe, scan, overload, or circumvent the security of the Service.
• Reverse engineer, resell, or build a competing product from the Service, except to the extent this restriction is prohibited by law.

You are solely responsible for the content of the conversations your agents conduct and for the prompts, scripts, and data you supply. We may suspend agents or accounts that we reasonably believe violate this section.

Paid plans are billed through Stripe. By providing a payment method you authorize us and Stripe to charge the fees for your plan, plus applicable usage. Usage-based charges (for example, voice minutes or conversation credits) are metered and drawn from a balance or billed in arrears, as described at checkout or in your dashboard.

• Subscriptions renew automatically for the same term until you cancel. You can cancel from the billing area; cancellation takes effect at the end of the current billing period.
• Credits and prepaid balances are consumed as you use the Service and are non-transferable. Unless stated otherwise at purchase, prepaid credits are non-refundable once purchased.
• Refunds. Fees already incurred and usage already consumed are non-refundable except where required by law. If you believe you were billed in error, contact stefan@heyzev.ai within 30 days and we will review it in good faith.

Fees are exclusive of taxes, which you are responsible for. We may change prices on notice; changes take effect on your next billing period. Late or failed payments may result in suspension.

As between you and us, you own the data you and your customers put into the Service, including call recordings, transcripts, and any candidate or contact records your customers submit (“Your Data”). You grant us a worldwide, non-exclusive license to host, process, and transmit Your Data solely to operate and improve the Service and to provide it to you, including sharing it with the subprocessors described in our Privacy Policy.

You are responsible for having the rights and permissions necessary to provide Your Data and for the legality of collecting it. We handle Your Data in accordance with the Privacy Policy.

The Service, including its software, models, interfaces, and the Zev name and marks, is owned by HeyZev and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription, subject to these Terms. We reserve all rights not expressly granted.

If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

The Service relies on and can connect to third parties, including ElevenLabs for voice generation, Stripe for payments, Google and Firebase for authentication and integrations such as Google Sheets, and others. Your use of those integrations may be subject to the third party’s own terms. We are not responsible for third-party services, and their availability or behavior is outside our control.

Zev uses AI to conduct conversations. AI agents can misunderstand, produce incorrect information, or behave unexpectedly. The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or secure, that every call or message will be answered, or that AI output will be accurate. You are responsible for reviewing the Service’s output before relying on it for decisions that affect your business or your customers.

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service, even if advised of the possibility of such damages.

Our total liability for all claims relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or one hundred US dollars. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that creates legal risk or harms the Service or others. We will use reasonable efforts to notify you.

On termination, your right to use the Service ends. We may delete Your Data after a reasonable period, as described in the Privacy Policy. You can request an export of Your Data before termination where the Service supports it. Sections that by their nature should survive (including payment obligations, intellectual property, disclaimers, limitation of liability, and governing law) will survive.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. You and HeyZev agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute that is not otherwise resolved, and each party waives any objection to venue there. Nothing here prevents either party from seeking injunctive relief to protect its intellectual property.

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you in the dashboard or by email. Changes take effect when posted. Your continued use of the Service after that point means you accept the revised Terms.
